1. Acceptance of Terms
By accessing or using NxtLab's website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.
2. Services Provided
NxtLab offers web development, mobile app development, UI/UX design, branding, and related digital services. The scope, deliverables, and timeline for each project will be defined in a separate service agreement signed by both parties.
3. Intellectual Property Rights
All work products, including source code, design files, and assets, remain the intellectual property of NxtLab until full payment for the project has been received. Upon complete payment, all intellectual property rights are transferred to the client, except for NxtLab's pre-existing tools, libraries, and methodologies which remain our property.
4. Client Responsibilities
Clients agree to provide timely feedback, necessary access to systems and accounts, and all required content and branding assets. Delays caused by the client may result in adjusted project timelines. NxtLab is not liable for delays resulting from client inaction.
5. Payment Terms
Payment schedules are outlined in individual project agreements. Invoices are due within the timeframe specified. Late payments may incur additional fees and result in a pause of work until outstanding balances are cleared.
6. Limitation of Liability
NxtLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability for any claim shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
7. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the course of the project. This obligation survives the termination of the service agreement.
8. Termination
Either party may terminate a project agreement with written notice. Client shall pay for all work completed up to the termination date. NxtLab reserves the right to terminate services for breach of terms or non-payment.
9. Revisions and Modifications
NxtLab reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Continued use of our services after modifications constitutes acceptance of the updated terms.
10. Governing Law
These terms are governed by the laws of India. Any disputes arising from these terms shall be resolved through arbitration in Hyderabad, India, in accordance with the Arbitration and Conciliation Act, 1996.
